Acceptance of Terms
These Terms of Use (the "Terms") constitute a legally binding agreement between you — whether as an individual visitor or as a representative of a legal entity (collectively, "you" or "User") — and M.IA SOLUCOES EM INTELIGENCIA ARTIFICIAL LTDA, a limited liability company incorporated under Brazilian law, registered under CNPJ 67.971.350/0001-76 (referred to herein as "M.IA", "we", "our", or "us").
By accessing, browsing, or otherwise using the M.IA website and any associated informational content, materials, or services made available through it (collectively, the "Site"), you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety, as well as our Privacy Policy, which is incorporated herein by reference.
If you do not agree to any provision of these Terms, you must immediately discontinue all use of the Site. Your continued use of the Site following any update or revision to these Terms constitutes your acceptance of the amended version.
These Terms apply to all visitors and users of the Site, regardless of the device, browser, or access method used. If you are accessing the Site on behalf of a company or other organization, you represent and warrant that you have the authority to bind that entity to these Terms, and references to "you" include that entity.
Use of the Website
The Site is made available solely for informational and institutional purposes. It describes the artificial intelligence solutions, consulting services, and technology capabilities offered by M.IA. All content is intended to communicate who we are, what we do, and how to reach us — nothing on this Site constitutes a contractual offer or a solicitation of any particular transaction.
You are granted a limited, non-exclusive, non-transferable, revocable right to access and view the Site for lawful, personal, or internal business informational purposes. This permission does not extend to any commercial exploitation of the Site's content.
Permitted uses of the Site include:
- Browsing public informational content about M.IA's services and expertise.
- Reviewing contact details in order to initiate communications with M.IA through the channels indicated on the Contact page.
- Sharing links to publicly available pages of the Site for legitimate informational or referential purposes.
- Accessing the Site from any territory for the sole purpose of obtaining company information, subject to any applicable export controls or local regulations.
Any use of the Site beyond what is expressly described above, including any unauthorized commercial exploitation, scraping, automated data collection, or systematic reproduction of content, requires our prior written consent. We reserve the right to suspend or terminate access to any user who misuses the Site, without prior notice.
Intellectual Property
All content, materials, and elements published on or through the Site — including but not limited to text, graphics, photographs, illustrations, user interface designs, layout, color schemes, brand marks, logotypes, icons, data compilations, software code, and any other creative or technical work — are the exclusive property of M.IA SOLUCOES EM INTELIGENCIA ARTIFICIAL LTDA or of third-party licensors who have granted M.IA the right to use them.
These materials are protected under Brazilian and international intellectual property laws, including the Brazilian Industrial Property Law (Law No. 9.279/1996), the Brazilian Software Law (Law No. 9.609/1998), and the Brazilian Copyright Law (Law No. 9.610/1998), as well as applicable international treaties.
The name M.IA, the associated logotype, and all product or service names displayed on the Site are trademarks or trade names of M.IA SOLUCOES EM INTELIGENCIA ARTIFICIAL LTDA. Nothing in these Terms grants you any right or license to use these marks without our express prior written authorization.
You may not reproduce, redistribute, publish, display, retransmit, reverse-engineer, decompile, adapt, modify, create derivative works from, or otherwise exploit any portion of the Site's content without obtaining our written permission in advance. Unauthorized use may constitute an infringement of our intellectual property rights and may expose you to civil and criminal liability under applicable law.
Where specific third-party content appears on the Site — such as licensed imagery, open-source typefaces, or externally produced icons — intellectual property in those elements remains vested in their respective owners and is used by M.IA under appropriate licensing arrangements.
User Conduct
Because the integrity and availability of the Site is important both to us and to every legitimate visitor, we require all users to interact with the Site responsibly and in good faith. The following conduct is expressly prohibited:
- Using automated tools, bots, scrapers, crawlers, or similar technology to access, index, or copy content from the Site without our written authorization.
- Attempting to gain unauthorized access to any part of the Site's infrastructure, servers, databases, or associated systems — including through injection attacks, denial-of-service methods, or credential stuffing.
- Introducing malware, viruses, trojans, ransomware, or any other harmful or disruptive code via the Site or any communication channel associated with it.
- Reproducing, framing, or mirroring any portion of the Site on another website or application without prior written consent from M.IA.
- Misrepresenting your identity, affiliation, or intentions when engaging with any contact channel provided on the Site.
- Using the Site in any manner that could damage, overburden, impair, or compromise its performance or the experience of other users.
- Engaging in any activity that violates applicable laws or regulations — including Brazilian federal and state law, and any laws applicable in your own jurisdiction.
- Collecting or harvesting any personally identifiable information from the Site's contact details or other content for unsolicited outreach or commercial purposes.
M.IA reserves the right to report credible security threats or unlawful conduct to the appropriate Brazilian and international authorities, and to cooperate fully with any resulting investigation. Violations may result in civil and criminal prosecution to the fullest extent permitted by law.
We actively monitor the technical integrity of the Site and will block, restrict, or report access by any source that appears to be engaging in abusive, unlawful, or harmful conduct, with or without prior notice.
Third-Party Links
For your convenience and reference, the Site may contain hyperlinks to external websites, platforms, publications, or resources that are owned and operated by third parties not affiliated with M.IA. These links are provided in good faith as a courtesy and do not constitute an endorsement, approval, or sponsorship of those external sites, their content, their owners, or any products or services they may offer.
M.IA has no control over the content, privacy policies, security practices, or availability of external websites and is not responsible for any loss, damage, or inconvenience you may suffer as a result of visiting or relying on them. We strongly encourage you to review the terms of use and privacy policies of any third-party website you access via a link from our Site.
The existence of a hyperlink from the Site to any external resource does not imply that M.IA monitors, endorses, or maintains any ongoing relationship with that resource. Links may become outdated or inactive over time; if you notice a broken or inappropriate link, please notify us at contato@getmia-us.site.
Any third-party tools, platforms, or technology providers referenced on this Site as part of describing M.IA's service capabilities are mentioned for illustrative purposes only. Their respective trademarks remain the property of their owners, and such references do not imply any formal partnership unless otherwise stated explicitly in a separate communication from M.IA.
Disclaimer of Warranties
The Site and all content, information, and materials provided through it are made available on an "as is" and "as available" basis, without any representations or warranties of any kind — whether express, implied, statutory, or otherwise.
To the maximum extent permitted by applicable Brazilian law, M.IA expressly disclaims all implied warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We make no warranty that:
- The Site will be available at all times, uninterrupted, or free from errors, omissions, or technical defects.
- Any information, content, or material on the Site is accurate, complete, current, or suitable for any specific purpose you may have in mind.
- The Site or any servers or infrastructure hosting it are free from viruses or other harmful components.
- Results obtained from consulting or reviewing Site content will meet your specific expectations or business requirements.
The informational content of this Site reflects M.IA's general capabilities and approach. It is not a substitute for professional advice tailored to your specific business circumstances. Before making any business, legal, or technology decision based on information found on this Site, we encourage you to contact us directly to discuss your specific needs.
M.IA reserves the right to modify, suspend, or discontinue any portion of the Site at any time, with or without notice, and shall not be liable to you or any third party for any modification, suspension, or discontinuation.
Limitation of Liability
To the fullest extent permitted by applicable Brazilian law, M.IA SOLUCOES EM INTELIGENCIA ARTIFICIAL LTDA, its directors, officers, employees, contractors, agents, affiliates, and successors shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages arising out of or in connection with your use of — or inability to use — the Site or any content, information, or materials found therein.
This limitation applies to damages arising from, without limitation:
- Loss of revenue, profit, business opportunity, or anticipated savings.
- Loss of data or business information.
- Business interruption or disruption to operations.
- Decisions made in reliance on information presented on the Site.
- Unauthorized access to or alteration of your data or communications as a result of interacting with the Site.
- Conduct or content of any third party accessible via links or references on the Site.
In any case where M.IA is found liable despite the disclaimers set forth in these Terms, our aggregate liability to you shall not exceed the total amount, if any, paid by you to M.IA in the twelve (12) months preceding the event giving rise to the claim. Because this is an informational website with no transactional or paid access, that ceiling will in most circumstances be zero.
Some jurisdictions do not allow the exclusion or limitation of certain categories of liability. In such jurisdictions, our liability shall be limited to the fullest extent permitted by law, and the provisions of this section shall apply to the maximum degree permissible.
Indemnification
You agree to defend, indemnify, and hold harmless M.IA SOLUCOES EM INTELIGENCIA ARTIFICIAL LTDA and its directors, officers, employees, contractors, agents, licensors, and affiliates from and against any and all claims, actions, proceedings, liabilities, losses, damages, costs, and expenses — including reasonable legal fees and court costs — that arise directly or indirectly from:
- Your access to or use of the Site in any manner that violates these Terms or any applicable law or regulation.
- Any content you transmit through any contact channel associated with the Site, to the extent such content infringes on third-party rights or violates any law.
- Any breach of the representations or warranties you make by accepting these Terms, including any representation that you have authority to bind an organization.
- Any misuse of the Site's content, including unauthorized reproduction, distribution, or commercial exploitation.
- Any claim by a third party arising from your conduct in relation to the Site or M.IA's services.
M.IA reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to your indemnification obligation. In such cases, you agree to cooperate fully with M.IA's defense of that claim and not to settle any such claim without M.IA's prior written consent. This indemnification obligation shall survive the termination or expiration of your access to or use of the Site.
Governing Law & Jurisdiction
These Terms, and any dispute, claim, or controversy arising out of or relating to them or to your use of the Site, shall be governed by and construed exclusively in accordance with the laws of the Federative Republic of Brazil, without regard to its conflict-of-law principles.
The parties irrevocably submit to the exclusive jurisdiction of the courts of the judicial district in which M.IA SOLUCOES EM INTELIGENCIA ARTIFICIAL LTDA maintains its registered place of business in Brazil, for the resolution of any dispute that cannot be settled amicably between the parties. If you are accessing the Site from outside Brazil, you do so voluntarily and are solely responsible for compliance with the laws and regulations applicable in your own jurisdiction.
The Brazilian Consumer Defense Code (Law No. 8.078/1990), the Brazilian General Data Protection Law — LGPD (Law No. 13.709/2018), and the Brazilian Civil Code (Law No. 10.406/2002) form part of the legal framework that governs M.IA's operations and, where applicable, your use of the Site and any services described within it.
Before initiating any formal legal proceeding, both parties agree to make a genuine good-faith effort to resolve any dispute through direct negotiation. Either party may initiate this process by sending a written notice describing the nature of the dispute and the resolution sought to the contact address specified in Section 11 of these Terms.
Changes to These Terms
M.IA reserves the right to revise, update, or replace any part of these Terms at any time and for any reason, including to reflect changes in our services, applicable law, or best practices in the technology and artificial intelligence sector. Such changes take effect as soon as the updated Terms are published on the Site.
The "Last updated" date displayed at the top of this page indicates when the most recent revision was made. It is your responsibility to review this page periodically to stay informed of any changes. We will make reasonable efforts to highlight material changes — for example, by updating the date prominently — but we are not obligated to provide individual notification to Site visitors.
If you continue to access or use the Site after a revised version of the Terms has been posted, you are deemed to have accepted those revised Terms. If you disagree with any modification, you must stop using the Site immediately.
All previous versions of these Terms are superseded upon publication of a new version. If you require a copy of an earlier version for legal or compliance reasons, please contact us at contato@getmia-us.site and we will endeavor to assist where records permit.
